律师建立的公司
 

今天收到律师的邮件，内含“change director/shareholder -proof of filling" 的文件，其中包含：

last name/legal entity name: (律师的姓）
first name: (律师的名字）

为啥律师也是我公司的director,只是状态不是激活的:frown1:，还有registered address也是律师的办公地址，service地址是我的，这里面是不是有什么说法呀，请有经验的筒子们解释一下，因为不是到啥意思，还没好意思问律师。

真不明白,注册个公司很容易的事情,怎么还要请律师?!

同感。Change个director或者shareholder，报个Annual Return，都是很简单的事情，几分钟就能搞定的，请律师有些不值得。
解释一下啊：
1: 你的律师为你在政府部门做了Change director的申请，原先登记的董事是他（或者他和你），现在他把自己的董事资格取消了。
2: 在你公司注册的时候，你是委托该律师做的注册。公司注册委托律师做的，如无特殊说明，律师的办公地址就是你公司的registered address，营业地址可以是你自己的地址。

又看了一下,你这个律师也是个二百五啊,怎么能把他设成DIRECTOR呢.公司里这是很严肃的事情的.

晕死，当时找律师只是想有些公司的东西不太清楚，时间又紧迫，只是想让律师整个明白，靠，刚开始给我个去年注册的，现在又整个他是董事，再转，彻底晕死。这可是上周才注册公司，律师净瞎折腾。

现在只是想知道有没有啥后患，真想剁了他。

注：又认真看了下原注册文件，文件上只有我和老婆是director， shareholder。 文件上只有一处有它的名字，incorporation name。
不知道为啥今天要change director , change address.

那你有没有CERTIFICATE啊?如果有的话,看看,信息对了的话也没什么大不了的.
没有的话,就告诉他让他把公司关了,自己去重新注册一个吧.

我有certificate of shareholder，上面只有我和老婆呀，没有律师呀，今天不知为啥change，多出来个他，另外我已经用这个公司的信息开银行账户了，开户时提供的文件也没有他呀。真的晕死。

律师回复邮件如下。

1. I was the incorporator of the Company and signed the initial incorporation documentation and filed the same on your behalf as I do for most of my corporate clients and accordingly my name appears as the incoporator as well as opening Director. Subsequently on the same date as incorporation the Company is turned over to the client which did occur as you will note when you attend at my office for purpose of signing the opening minutes. I trust you have noted that you are the active Directors and I am not.
2.  Please also note that the company was only incorporated on June 23 and has no active status until activated by yourselves.
3.  With respect to the legal registered address same is the lawyer's address for most companies and the sole purpose for same is for service of legal documentation which often the clients do not recognize as important but which ofter requre immendiate action to avoid legal difficulties.
4. With respect to your comment that you have concerns respecting the company please be advised that you have no basis whatsoever for any such concerns.
5. You have retained my services as a lawyer and a professional to deal with the purchase of the business and incorporate a company for you and if you cannot trust me, accept my advice and have confidence that I am representing your best interests we have a problem. I have incorporated hundred of companies for my clients in the same manner as I did for yourselves and have never had any issues or been questioned respecting the same as you have done.


大侠们有何看法.

原来是买生意的律师,那就没什么大问题.我个人从他的信上相信他说的.
把DIRECTOR的名字确认了,地址改成你自己的地址,保存好FORM1,就没事了.
